Terms and Conditions
These Terms and Conditions govern access to the LOOP & FORM LTD website and outline how we work with private collectors, public institutions, and commercial clients for contemporary artworks, sculptures, installations, and curated exhibitions.
1. Introduction
These Terms and Conditions outline the rules and regulations for using the LOOP & FORM LTD artistic creation studio website and engaging with our professional services based in Leeds, United Kingdom. By exploring our gallery-inspired content, reviewing our portfolio of contemporary artworks, or initiating a project enquiry, you acknowledge that these Terms and Conditions provide the legal framework governing such use and engagement.
LOOP & FORM LTD operates from Leeds and collaborates with private collectors, public spaces, and commercial clients in the United Kingdom and internationally. The website is intended to present our practice, showcase completed and in-progress works, and facilitate secure, professional communication regarding potential commissions and collaborations.
2. Acceptance of Terms
By accessing, browsing, or otherwise using this website, or by commissioning or otherwise engaging our services, you expressly agree to be bound by these Terms and Conditions, together with any additional terms referenced on specific pages or within individual project agreements.
If you do not agree with any provision contained herein, you must refrain from using the website, submitting enquiries, or entering into any commission or collaboration with LOOP & FORM LTD. Continued use of the website following the publication of updates or revisions to these Terms and Conditions will constitute your acceptance of those changes.
3. Eligibility
Engagement with LOOP & FORM LTD services is open to individuals and legal entities who meet the minimum age and legal capacity requirements defined under the laws of England and Wales, and who agree to be bound by these Terms and Conditions. By submitting a commission enquiry, confirming a project, or entering into a written agreement with us, you warrant that you:
- are at least 18 years of age or the applicable age of majority in your jurisdiction; and
- are legally capable of entering into binding contracts; and
- when acting on behalf of a company, institution, or organisation, are duly authorised to do so.
We reserve the right, at our sole discretion, to decline or discontinue engagement where eligibility requirements are not satisfied or where a project falls outside our studio’s scope, values, or practical capacity.
4. Service Details
Our studio provides contemporary art commissions, sculptures, mixed-media installations, and exhibition curation services. These offerings may include, but are not limited to, site-specific artworks, gallery-scale installations, spatial interventions, collaborative projects with brands or institutions, and curation of existing or newly commissioned works for private and public environments.
All services are subject to availability, initial consultations, and detailed project scope discussions. Timelines, materials, formats, technical requirements, installation conditions, and any associated logistics are evaluated on a project-by-project basis. Information presented on this website, including descriptions of previous works, is provided for illustrative and informational purposes only and does not constitute a binding offer.
We reserve the right to adjust or refine our services, processes, and pricing structures over time. Any such changes will not affect projects that are already governed by a signed or otherwise formally accepted agreement, unless mutually agreed in writing.
5. Intellectual Property
All content displayed on this website, including but not limited to artwork images, studio photography, installation views, process documentation, texts, logos, graphic elements, and the overall design and layout of the site, remains the exclusive property of LOOP & FORM LTD or its collaborators and licensors, as applicable.
Unless explicitly authorised in advance in writing, you may not reproduce, copy, capture, store, distribute, publish, adapt, modify, or create derivative works from any content on this website, whether for commercial or non-commercial purposes. This includes the use of imagery or text for advertising, editorial, social media, or other public communications that imply association with or endorsement by LOOP & FORM LTD.
All moral rights and authorship rights in the artworks and original creative content are expressly reserved. Limited rights to display, reproduce, or otherwise use a commissioned work may be set out in the relevant commission or licensing agreement and will prevail over this general clause only to the extent specified in such agreement.
6. Commission Agreements
Commissioned works require clear and formalised arrangements between you and LOOP & FORM LTD. Before any production work begins, we will seek written confirmation of the commission together with agreed-upon specifications, payment schedules, and delivery or installation terms.
Each commission agreement may address, among other matters:
- concept, medium, dimensions, and material specifications;
- site information, installation conditions, and access requirements;
- creative direction, review milestones, and approval points;
- deadlines, shipping or transport arrangements, and installation support; and
- ownership, display rights, reproduction permissions, and credits.
Changes to the agreed scope, including modifications to size, materials, complexity, site conditions, or delivery expectations, may incur additional charges and may impact previously discussed timelines. Where amendments are requested, we will communicate the implications in writing and seek your approval before proceeding with any revised work.
7. Payment Terms
Fees, deposit requirements, invoicing details, and accepted payment methods, such as bank transfers or card payments, will be outlined clearly prior to engagement and confirmed within the relevant project documentation. Unless explicitly stated otherwise, quoted amounts are exclusive of applicable taxes, duties, or fees, which may be added as required by law.
In most cases, an initial deposit will be required to secure studio time, materials, and project development. Subsequent instalments may be tied to specific milestones, such as concept approval, fabrication, and delivery or installation. Full payment terms, including due dates and any late payment provisions, apply as set out in the individual project agreement.
Failure to make payments when due may result in suspension of work, delays to delivery or installation, and, where necessary, the application of interest or charges in line with the terms of the agreement and applicable law. Title to physical works, and any associated usage rights, may be withheld until all outstanding amounts have been settled in full.
8. Cancellation and Refunds
Policies regarding cancellation, alterations, and potential refunds depend on the nature, stage, and scale of the specific project. Given the bespoke, materials-based, and often site-responsive character of our work, substantial time and resources may be committed early in the process.
Any applicable cancellation and refund terms will be described in the corresponding project contract or written agreement, including how deposits, design fees, fabrication costs, and third-party expenses are treated if a commission is altered or cancelled. In general, non-recoverable costs and work already undertaken will not be refundable.
If you are considering modifying or cancelling a commission, you should consult the signed project documentation and contact us directly using the details on our Contact Us page. We will review the situation in light of the agreed terms, the current project stage, and any materials or commitments already incurred.
9. Limitation of Liability
To the fullest extent permitted by applicable law, LOOP & FORM LTD, together with its directors, employees, collaborators, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of this website or your engagement with our services. This includes, without limitation, loss of profits, loss of opportunity, loss of data, or reputational harm, whether based in contract, tort, negligence, or otherwise.
The website and its content are provided on an "as is" and "as available" basis. While we strive to ensure that information, imagery, and documentation are accurate and current, we do not warrant that the website will be uninterrupted, error-free, or free from security vulnerabilities or harmful components. Use of the website and our services is at your own risk.
Nothing in these Terms and Conditions shall limit or exclude liability where such limitation or exclusion is prohibited under the laws of England and Wales, including liability for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation.
